ReplyMaxxing Terms of Service
Effective October 14, 2026. Version 2026-10-14.
These Terms are an agreement between you and MPH Tech LLC, a California limited liability company doing business as ReplyMaxxing ("ReplyMaxxing", "we", "us"). They cover the ReplyMaxxing Chrome extension, our website, our server and any service we provide with them (together, the "Service"). By creating an account, starting a trial, buying a plan or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.
1. What the Service does
- ReplyMaxxing includes Max, an AI assistant. Max answers questions and suggests text for LinkedIn messages, comments and posts, scores LinkedIn profiles, makes banner designs and shows who to follow up with.
- ReplyMaxxing only reads the LinkedIn page you are on when you click one of its buttons. It never sends a message, connects, likes, posts or clicks anything on LinkedIn for you. You decide what to send and you press Send yourself.
- Managed Inbox is a service where our team works in your LinkedIn inbox at your direction, under the separate scope we agree with you.
2. Not affiliated with LinkedIn
ReplyMaxxing is not affiliated with, endorsed by or sponsored by LinkedIn Corporation or Microsoft. LinkedIn is a trademark of LinkedIn Corporation.
3. Your LinkedIn account is your responsibility
- You are solely responsible for your LinkedIn account and for complying with LinkedIn's User Agreement, Professional Community Policies and any other LinkedIn rules, as they change from time to time.
- LinkedIn may limit, restrict, suspend or close accounts at its own discretion, including accounts that use third party tools. You use the Service at your own risk. We do not guarantee that using the Service will not lead to any warning, limit, restriction, suspension or closure of your LinkedIn account, and we are not responsible if it does.
- You are responsible for everything you send, post or publish, including text the Service suggested. Read and edit every suggestion before you use it.
- You are responsible for following the laws that apply to your outreach and content, including privacy, anti-spam, advertising, employment and recruiting laws, and for having the right to contact the people you contact.
- If you use Managed Inbox, you authorize us to act in your LinkedIn account on your behalf, and you accept the same LinkedIn risks described above.
4. AI suggestions
Max's answers, suggestions, scores, reports, banners and ideas are generated by artificial intelligence. They can be wrong, incomplete or unsuitable, and they are not professional, legal, career or financial advice. Results such as booked calls, clients, interviews or job offers are not guaranteed. Trend information comes from public web sources and may be inaccurate or out of date.
5. Acceptable use
You agree not to use the Service to:
- send spam, harass anyone, or send misleading, defamatory or unlawful content;
- impersonate anyone or misrepresent who you are;
- scrape, collect or sell other people's personal data;
- break LinkedIn's rules or anyone else's rights, including intellectual property rights;
- copy, resell, reverse engineer or interfere with the Service, or get around its limits.
We may suspend or close your account if we reasonably believe you broke these rules.
6. Accounts, plans and billing
- You need an account to use the Service. Keep your sign in email secure. You are responsible for activity on your account.
- Paid plans are subscriptions that renew automatically each billing period at the price shown when you bought, until you cancel. You can cancel anytime from Account > Billing in the extension. Cancellation stops the next renewal; you keep access until the end of the period you already paid for.
- Free trials: Founding, Pro and Autopilot include a 5 day free trial with a limited number of credits. We collect a card at checkout and charge it when the trial ends unless you cancel before then. One trial per person and per card.
- Credits reset each billing period and don't roll over. Top-ups are one time purchases that expire at the end of the current period.
- Except where the law requires otherwise, payments are non-refundable, including for partial periods and unused credits.
- We may change prices or plans with at least 30 days' notice by email. Changes apply from your next renewal.
- Payments are processed by Stripe under Stripe's terms.
7. Our property and your content
- We own the Service, its software, design and brand. We give you a limited, personal, non-transferable, revocable license to use it while your account is in good standing.
- You keep ownership of what you enter and what you send. You give us permission to process it only to run and improve the Service, as described in the Privacy Policy.
- If you send us feedback, we may use it without any obligation to you.
8. No warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR FREE OR SECURE, THAT IT WILL KEEP WORKING WITH LINKEDIN, OR THAT ANY RESULT WILL BE ACHIEVED. LinkedIn can change its website at any time, which may stop parts of the Service from working.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- MPH TECH LLC AND ITS OWNERS, MEMBERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITIES, GOODWILL, REPUTATION OR DATA, INCLUDING ANY LOSS ARISING FROM ANY LIMIT, RESTRICTION, SUSPENSION OR CLOSURE OF YOUR LINKEDIN ACCOUNT, OR FROM ANY CLAIM, DISPUTE OR LEGAL ACTION BY LINKEDIN OR ANY OTHER THIRD PARTY RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE WERE TOLD SUCH DAMAGES WERE POSSIBLE.
- OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.
- These limits apply to every theory of liability, including contract, tort (including negligence), strict liability and statute, and even if a remedy fails of its essential purpose. They do not limit liability that cannot be limited by law, such as liability for fraud, gross negligence or willful misconduct.
10. Indemnity
You agree to defend, indemnify and hold harmless MPH Tech LLC and its owners, members, employees, contractors and agents from any claims, lawsuits, demands, damages, losses, fines, costs and expenses (including reasonable attorneys' fees) brought by any third party, including LinkedIn, that arise from or relate to: your use of the Service; messages, posts or content you send or publish; your LinkedIn account; your violation of these Terms, LinkedIn's terms or any law; or your violation of anyone's rights.
11. Ending the Service
You can stop using the Service and cancel at any time. We may suspend or end your access if you break these Terms, if required by law, or if we stop offering the Service (in that case we'll refund any prepaid amount for the unused part of the period). Sections 3, 4 and 7 to 13 survive the end of these Terms.
12. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. Any dispute relating to the Service or these Terms will be brought only in the state or federal courts located in San Francisco County, California, and you and we consent to their jurisdiction. Either party may bring an eligible claim in small claims court.
13. Other terms
- We may update these Terms. If a change is material, we'll tell you by email or in the extension and ask you to agree again. Continuing to use the Service after a change means you accept it.
- If any part of these Terms is found unenforceable, the rest stays in effect, and the unenforceable part is limited to the minimum extent necessary.
- These Terms and the Privacy Policy are the whole agreement between you and us about the Service. Our not enforcing a right is not a waiver of it. You may not transfer these Terms; we may transfer them as part of a merger, sale or reorganization.
